Effective April 15, 2011, Sentry Health Monitors, LLC (“Sentry Health”), the owner and operator of all health monitors previously owned by Lifeclinic International, Inc. (“Lifeclinic”), and Health Station Networks, Inc. (“HSNI”) have entered into a binding letter of intent whereby HSNI will acquire substantially all of the assets of Sentry Health. Sentry Health owns and operates a network of over 20,000 commercial, automated, blood pressure monitors and health stations located in pharmacies, grocery stores, worksites, medical clinics and health clubs in the United States and Canada and which account for 500 million blood pressure and other non-invasive biometric measurements annually. The use of the monitors is free of charge to consumers, with advertising supporting most of this access. HSNI is owned by a consortium of strategic partners from the health and wellness industry and the digital media industry, and is led by Kenneth S. Williams, CEO. Williams is a media industry veteran who spent 18 years with Sony Pictures Entertainment, culminating as President of Sony’s Digital Studios Division. He was President and CEO of Ascent Media Group, part of John Malone’s Liberty Media, where he was responsible for the acquisition and operation of AccentHealth, the largest Health Education TV Network in the U.S. Most recently Williams has been an investor and President/CEO of Health Club Media Network, the largest operator of media in over 4,000 health club facilities nationwide. There he has been actively involved in the conversion of its analog placard business to a digital kiosk platform. HSNI expects to close the acquisition of the Sentry Health assets by no later than the end of May, 2011. During the period through closing, Sentry Health will continue to operate under the direction of Andrew Bebbington, its CEO, and will service its large installed base in conjunction with the former Lifeclinic independent dealer network.
